This Fundraising Partnership Agreement ("Agreement") is entered into as of [Date] (the "Effective Date") by and between:
Study Hall Online Emporium (SHOE), LLC having its principal place of business in Spring, TX, hereinafter referred to as "SHOE," and

Collectively referred to as the "Parties."
1. Purpose of Agreement
The purpose of this Agreement is to establish the terms and conditions under which SHOE and the Partner will collaborate on fundraising initiatives to support third-party entities such as homeschool co-ops or private schools ("Beneficiaries") in achieving [specific goals of the fundraising initiative, e.g., education-related projects, community development].
2. Scope of Collaboration
2.1 Responsibilities of SHOE:
- Act as the intermediary between the Partner and the Beneficiaries, coordinating fundraising efforts.
- Promote the fundraising initiative through its online platforms and networks.
- Ensure alignment of all activities with SHOE’s mission and the interests of the Beneficiaries.
- Facilitate communication and provide updates on the initiative’s progress to both the Partner and the Beneficiaries.
2.2 Responsibilities of the Partner:
- Offer [products/services] as part of the fundraising initiative.
- Allocate [specific percentage or fixed amount] of proceeds from designated sales to SHOE for distribution to the Beneficiaries.
- Provide promotional support for the initiative through [social media, email campaigns, in-store marketing, etc.].
2.3 Responsibilities of SHOE to Beneficiaries:
- Distribute funds collected from the Partner to the designated Beneficiaries in a timely manner.

- Support Beneficiaries in promoting the fundraising initiative within their communities.
3. Term and Termination
3.1 Term:
This Agreement shall commence on the Effective Date and remain in effect until [specific end date or “either Party terminates as per Section 3.2”].
3.2 Termination: Either Party may terminate this Agreement with 30 days' written notice to the other Party. Termination shall not relieve the Partner of any obligations to remit funds collected prior to the termination date. SHOE will ensure that any funds already collected are distributed to the appropriate Beneficiaries.
4. Financial Terms
4.1 Proceeds Allocation:

5. Intellectual Property
Each Party retains ownership of its respective intellectual property. Any use of SHOE’s name, logo, or branding by the Partner must be pre-approved in writing. SHOE will ensure that any promotional materials involving the Beneficiaries align with their guidelines and values.
6. Confidentiality
Both Parties agree to keep confidential any non-public information shared during the course of this partnership, including financial data, customer information, and proprietary strategies. SHOE will also maintain confidentiality of any sensitive information related to the Beneficiaries.
7. Indemnification
Each Party agrees to indemnify and hold harmless the other Party from any claims, liabilities, or damages arising out of their own acts or omissions in connection with this Agreement. SHOE shall not be liable for any disputes arising directly between the Partner and the Beneficiaries.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
9. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings, whether written or oral.
10. Signatures
